Terms of Service
These Terms of Service ("Terms") govern your use of Nova, a product of Prolate OS operated by Prolate Meteors (Pty) Ltd (Registration No. K2021323404), a company registered in South Africa with its registered address at Townsend Estate, Cape Town, 7460, South Africa ("Prolate Meteors," "we," "us," or "our"). By creating an account or using Nova, you agree to these Terms.
1. Who can use Nova
You must be at least 18 years old and able to form a binding contract to create a Nova account. If you create a workspace on behalf of a business, you confirm you're authorized to bind that business to these Terms. You're responsible for the accuracy of the information you provide and for keeping your login credentials secure.
2. Subscription plans
Nova is offered on three plans, described in full on our Pricing page:
- Starter — free, limited to one workspace.
- Professional — R99/month, billed monthly, unlocks multi-user workspaces and full reporting.
- Enterprise — custom pricing and terms, agreed separately with us.
We may change plan features or pricing going forward; we'll give existing subscribers reasonable notice before a price change takes effect on their next billing cycle.
3. Payment terms
Paid subscriptions are billed monthly in advance and processed by Paystack, our third-party payment processor. Nova does not store your card details. You can cancel a paid subscription at any time from your workspace's Settings tab; cancellation takes effect at the end of the current billing period, and your workspace reverts to the Starter plan. 4. Acceptable use
You agree not to use Nova to:
- Upload or process data you don't have the right to use;
- Attempt to gain unauthorized access to another workspace or account;
- Interfere with or disrupt Nova's infrastructure or availability;
- Use Nova for any unlawful purpose, including fraud or money laundering.
We may suspend or terminate accounts that violate this section (see Section 6).
5. Intellectual property
Nova, the Prolate OS platform, and all associated software, design, and branding are the property of Prolate Meteors (Pty) Ltd. These Terms don't grant you any ownership in Nova itself — only a limited right to use it as described here. You retain ownership of the data you upload to your workspace (invoices, bank statements, inventory records, and similar business data).
6. Account suspension
We may suspend or terminate your access to Nova if you breach these Terms, if required by law, or if your subscription payment fails and isn't resolved within a reasonable period. Where practical, we'll notify you before suspension and give you an opportunity to export your data first.
7. Limitation of liability
Nova is provided "as is." To the maximum extent permitted by law, Prolate Meteors (Pty) Ltd is not liable for indirect, incidental, or consequential damages arising from your use of Nova, including loss of profits, data, or business opportunities. Nothing in these Terms limits liability that cannot be excluded under South African law.
8. Governing law
These Terms are governed by the laws of the Republic of South Africa, and any dispute arising from them will be subject to the jurisdiction of the South African courts.
