Terms of Service

1. Who can use Nova

You must be at least 18 years old and able to form a binding contract to create a Nova account. If you create a workspace on behalf of a business, you confirm you're authorized to bind that business to these Terms. You're responsible for the accuracy of the information you provide and for keeping your login credentials secure.

2. Subscription plans

Nova is offered on three plans, described in full on our Pricing page:

• Starter — free, limited to one workspace.
• Professional — R99/month, billed monthly, unlocks multi-user workspaces and full reporting.
• Enterprise — custom pricing and terms, agreed separately with us.

We may change plan features or pricing going forward; we'll give existing subscribers reasonable notice before a price change takes effect on their next billing cycle.

3. Payment terms

Paid subscriptions are billed monthly in advance and processed by Paystack, our third-party payment processor. Nova does not store your card details. You can cancel a paid subscription at any time from your workspace's Settings tab; cancellation takes effect at the end of the current billing period, and your workspace reverts to the Starter plan. 4. Selling on Nova (Nova Commerce)

Workspaces on a paid plan may enable Nova Commerce and sell goods directly to the public from their listing page. This section applies to those sales. It does not affect workspaces that only use Nova to showcase products without selling.

Nova is not the seller. Where you buy from a workspace on Nova, your contract of sale is with that workspace (the "Seller"), not with Prolate Meteors. We provide the platform and the payment integration; we do not own, inspect, store, handle or dispatch any goods sold through Nova, and we are not a party to the sale.

Sellers are solely responsible for:

• The accuracy of product descriptions, images, prices and availability;
• Fulfilling orders they accept, and for delivery or collection arrangements;
• Handling their own returns, refunds, cancellations and customer queries;
• Their own tax obligations, including VAT registration and invoicing where applicable - Nova does not withhold, collect or report tax on a Seller's behalf;
• Complying with all laws applying to the goods they sell, including the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002.

Sellers may not list goods that are unlawful, counterfeit, stolen, recalled, hazardous, or that they are not legally entitled to sell. We may remove listings or disable a Seller's shop where we reasonably believe this section has been breached.

5. Marketplace payments and payouts

Marketplace payments are processed by Paystack and settle directly to the Seller's own Paystack subaccount and bank account. Prolate Meteors does not receive, hold or control customer funds from marketplace sales, and does not act as an escrow agent, banker or payment institution.

Buyers pay the price displayed at checkout; nothing is added after the fact. Paystack's processing fees are borne by the Seller and are deducted from the Seller's settlement. Where Nova charges a platform commission, it is disclosed in the workspace's Settings and deducted per transaction; at present that commission is zero. We may introduce or change a commission on reasonable prior notice, and any change applies only to sales made after it takes effect.

Marketplace payments are entirely separate from Nova subscription fees. A refund of a marketplace order does not affect a subscription, and vice versa.

6. Buying on Nova

You may buy from a Seller with or without a Nova account. Where you check out as a guest, we collect the name, email address, phone number and delivery details needed to complete and deliver your order, and we share them with that Seller so they can fulfil it. See our Privacy Policy.

Questions, returns, refunds, cancellations and delivery disputes must be raised with the Seller, who is the party you contracted with. We are not obliged to mediate, and we cannot compel a Seller to refund you. We may, at our discretion, assist by providing order records or by acting against a Seller under Section 4 where the platform's terms have been breached.

Nothing in these Terms limits any right you have as a consumer under South African law that cannot lawfully be excluded. In particular, section 44 of the Electronic Communications and Transactions Act gives consumers a right to cancel certain electronic transactions within seven days, and the Consumer Protection Act provides rights in respect of defective goods. Those rights are exercised against the Seller.

7. Acceptable use

You agree not to use Nova to:

• Upload or process data you don't have the right to use;
• Attempt to gain unauthorized access to another workspace or account;
• Interfere with or disrupt Nova's infrastructure or availability;
• Use Nova for any unlawful purpose, including fraud or money laundering.

We may suspend or terminate accounts that violate this section (see Section 9).

8. Intellectual property

Nova, the Prolate OS platform, and all associated software, design, and branding are the property of Prolate Meteors (Pty) Ltd. These Terms don't grant you any ownership in Nova itself — only a limited right to use it as described here. You retain ownership of the data you upload to your workspace (invoices, bank statements, inventory records, and similar business data).

9. Account suspension

We may suspend or terminate your access to Nova if you breach these Terms, if required by law, or if your subscription payment fails and isn't resolved within a reasonable period. Where practical, we'll notify you before suspension and give you an opportunity to export your data first.

10. Limitation of liability

Nova is provided "as is." To the maximum extent permitted by law, Prolate Meteors (Pty) Ltd is not liable for indirect, incidental, or consequential damages arising from your use of Nova, including loss of profits, data, or business opportunities. Nothing in these Terms limits liability that cannot be excluded under South African law.

11. Governing law

These Terms are governed by the laws of the Republic of South Africa, and any dispute arising from them will be subject to the jurisdiction of the South African courts.
